Acquisition guidance

De Jong & Laan advised the management of Van Klompenburg Hekwerk & Beveiliging during the acquisition of a majority stake. The transaction support included M&A services and conducting financial, tax, and employment law due diligence investigations.

Jeroen Martens, Frank Hop and Ruud Bossink represented de Jong & Laan in supporting Van Klompenburg with the M&A process, which consisted of:

Identifying and approaching potential acquisition candidates;
Analysing company information and financial data;
Defining the bidding strategy together;
Leading the negotiations;
Conducting the due diligence investigation;
Closing the transaction.

The due diligence investigation was led by Marco Herder, in collaboration with Timon Schuurmans, Lisa Schreijer, Marian Brendel, and Joanne Wesselo. The financial review focused on validating historical financial results, assessing the acquisition balance sheet and equity bridge, and determining the normalised working capital level. On the tax and employment law side, the company’s position regarding tax obligations and employment law compliance was assessed.
