Acquisition: Denkavit drives expansion with international acquisition

The Dutch Denkavit Groep and the UK-based Volac International Ltd. have reached an agreement on the acquisition of Volac’s milk replacer business by Denkavit, marking a strategic step forward for both companies. De Jong & Laan advised and supported the management of Denkavit in the acquisition process of this international carve-out.

Denkavit, with a turnover of €900 million and more than 650 employees, operates worldwide with Europe as its home market and has locations in several countries. Volac International Ltd has eight production facilities across the United Kingdom, Ireland, the United States, Indonesia and Malaysia.

A step forward

The completion of the acquisition is an important milestone for both companies, with Denkavit taking full ownership of the commercial organisation of Volac’s milk replacer business and of Volac Socoor in Italy. Denkavit and Volac will continue to collaborate, as Volac International Ltd. will keep producing products for Denkavit under the terms of the agreement.

Acquisition guidance

During this international carve-out, de Jong & Laan supported Denkavit’s management with M&A advice and carried out a financial due diligence investigation.

Theo de Cock, Marco Herder, and Timon Schuurmans guided Denkavit on behalf of De Jong & Laan in areas such as preparation, conducting a business valuation, and providing strategic support.

The due diligence was led by Marco Herder, together with Timon Schuurmans and Lisa Schreijer, with a particular focus on reviewing the historical financial performance and position of the Volac milk replacers, as well as analysing the company’s earnings potential.
